1. Acceptance of Terms

Welcome to GoKanic. These Terms of Service ("Terms") constitute a legally binding agreement between you and GoKanic Inc. ("GoKanic," "we," "us," or "our") governing your access to and use of the GoKanic platform, website, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, providing additional notice. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.

2. Description of Service

GoKanic is a B2B marketplace platform that connects go-kart racers with service providers at racing tracks. Our Service enables vendors to list their services (including but not limited to mechanical services, coaching, kart maintenance, engine tuning, photography, apparel, and parts) and allows racers to discover and connect with these providers.

GoKanic acts solely as a platform facilitating connections between users. We are not a party to any transactions or agreements between vendors and customers, and we do not endorse, guarantee, or assume responsibility for any services listed on the platform.

3. User Eligibility and Accounts

3.1 Eligibility

To use the Service, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. By using the Service, you represent and warrant that you meet these eligibility requirements.

3.2 Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may also delete your account at any time through your account settings or by contacting us.

4. Vendor Responsibilities

If you register as a vendor on GoKanic, you agree to the following additional terms:

• You have the legal right and authority to offer the services you list
• Your service listings are accurate, complete, and not misleading
• You will maintain all necessary licenses, permits, and insurance for your services
• You will comply with all applicable laws and regulations in your jurisdiction
• You will respond promptly to customer inquiries and fulfill your service commitments
• You will handle customer data in accordance with applicable privacy laws
• You are solely responsible for collecting and remitting any applicable taxes

GoKanic does not verify vendor qualifications or the quality of services offered. Vendors are solely responsible for the services they provide.

5. Prohibited Conduct

When using the Service, you agree not to:

• Violate any applicable laws, regulations, or these Terms
• Infringe on the intellectual property rights of others
• Post false, misleading, or deceptive content
• Impersonate another person or entity
• Engage in fraud, scams, or deceptive practices
• Harass, abuse, or harm other users
• Post content that is defamatory, obscene, or offensive
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated means to access the Service without our permission
• Interfere with the proper functioning of the Service
• Collect or harvest user information without consent
• Use the Service for any illegal or unauthorized purpose

6. Intellectual Property

6.1 GoKanic Property

The Service, including its design, features, content, and technology, is owned by GoKanic and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.

6.2 User Content

You retain ownership of content you submit to the Service (such as service descriptions, images, and profiles). By submitting content, you grant GoKanic a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Service.

You represent and warrant that you have all necessary rights to the content you submit and that your content does not infringe on the rights of any third party.

7. Third-Party Services

The Service may integrate with or contain links to third-party services (such as authentication providers, payment processors, or track websites). These third-party services are governed by their own terms and privacy policies.

GoKanic is not responsible for the content, policies, or practices of third-party services. Your use of such services is at your own risk.

8. Disclaimers

To the fullest extent permitted by law, GoKanic disclaims all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties regarding the quality, safety, or legality of services listed by vendors

GoKanic does not endorse, verify, or guarantee any vendor, service, or transaction. You assume all risks associated with using the Service and transacting with other users.

9. Limitation of Liability

To the fullest extent permitted by law, GoKanic and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Any damages arising from your use of or inability to use the Service
• Any damages arising from any interaction with other users or vendors
• Any damages arising from unauthorized access to your account or data

In no event shall GoKanic's total liability exceed the greater of (a) the amount you paid to GoKanic in the twelve months preceding the claim, or (b) $100 CAD.

10. Indemnification

You agree to indemnify, defend, and hold harmless GoKanic and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your content or services listed on the platform.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@gokanic.com and attempt to resolve the dispute informally for at least 30 days.

11.2 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause and with or without notice. Upon termination:

• Your right to access and use the Service will immediately cease
• We may delete your account and associated data
• Provisions of these Terms that should survive termination will remain in effect

You may terminate your account at any time by deleting your account through the Service or by contacting us at support@gokanic.com.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GoKanic regarding the Service and supersede all prior agreements.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
